Welcome to Evershine Events Pvt. Ltd. ("Company," "Evershine Weddings," "Evershine Events," "we," "us," or "our"), an India-based aggregator platform dedicated to the wedding industry. We connect prospective wedding clients ("Users" or "End Users") with a curated network of vendors/venues ("Vendors""Venues") offering services such as:

Our platform operates on a lead generation model: Users can browse listings, submit their contact details, and we forward these leads to relevant Vendors for potential follow-up and bookings. We facilitate these introductions transparently and fairly, without guaranteeing outcomes, managing transactions, or providing the Services ourselves.

These Terms of Service ("Terms") form a legally binding agreement between you and Evershine Events Pvt. Ltd. By accessing or using our Platform, you agree to these Terms, our Privacy Policy, and any additional guidelines we may provide. If you do not agree to these Terms, please do not access or use the Platform.

1. Introduction & Governing Laws

We are committed to fairness, transparency, and ethical practices. We comply with all applicable Indian laws, including but not limited to:

• The Information Technology Act, 2000 (as amended, including intermediary liability under Section 79);
• The Consumer Protection Act, 2019;
• The Digital Personal Data Protection Act, 2023 ("DPDP Act") and the DPDP Rules, 2025;
• The Indian Contract Act, 1872;
• The Arbitration and Conciliation Act, 1996;
• The Telecom Commercial Communications Customer Preference Regulations, 2018;
• Copyright Act, 1957; Trademarks Act, 1999; and other intellectual property laws;
• Anti-discrimination laws under the Constitution of India and relevant statutes.

Violations of ethical standards may result in account suspension.

2. Definitions

For clarity, the following terms are defined as follows:

• "Content": Any text, images, videos, reviews, profiles, leads, or other materials uploaded, submitted, or displayed on the Platform.
• "Lead": User-submitted information shared with Vendors for follow-up.
• "Platform": Includes our website, apps, APIs, and any related tools or features.
• "AI-Enhanced Media": Any Content processed or improved using artificial intelligence tools (e.g., for photo/video enhancement, editing, or generation).

3. Eligibility

To use the Platform, you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts under Indian law.
• Comply with all applicable laws, including data privacy, consumer protection, and anti-spam regulations.
• Not be barred from using similar services under any law or court order.

If using the Platform on behalf of an entity, you represent and warrant that you have full authority to bind that entity to these Terms. We reserve the right to verify eligibility and refuse access if these criteria are not met.

4. User Accounts and Registration

• Registration: Certain features require creating an account. You must provide accurate, complete, and up-to-date information. False information may lead to immediate termination.
• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• Notification of Issue: Notify us immediately at support@evershineweddings.com of any unauthorized access, security breach, or suspected compromise.
• Account Management: We may refuse registration, suspend, or terminate accounts for violations, inactivity (after 6 months with notice), or at our sole discretion to protect the Platform's integrity.

5. Nature of Our Services

• Lead Generation Model: Users browse Vendor listings and submit leads voluntarily. We share leads with matching Vendors to facilitate direct communication and bookings.
• No Agency or Partnership: Evershine Events acts solely as an aggregator and intermediary. We do not enter into agency, partnership, or employer-employee relationships with Users or Vendors.
• Curation and Verification: We curate Vendors through quality checks, reviews, and background verification (where feasible). However, we do not warrant Vendor reliability or compliance.
• Revenue Model: Revenue comes from Vendor fees for listings, premium features, or lead credits. No charges to Users.
• AI Usage: We may use AI tools to enhance media submitted by Users/Vendors for better display on the Platform. AI outputs are not guaranteed for accuracy or quality.

6. User Responsibilities

• Provide accurate, truthful information in leads or interactions.
• Grant explicit consent for us to share details with Vendors. You may withdraw consent anytime by contacting us.
• Understand Vendors may contact you (e.g., via phone/email), but you have no obligation to respond.
• Resolve disputes directly with Vendors. We may offer non-binding mediation but bear no liability.
• Comply with Prohibited Conduct (Section 9) and respect Vendor privacy/IP.
• Report issues ethically (e.g., genuine reviews only).

7. Vendor Responsibilities

• Maintain accurate, current profiles (services, pricing, availability, photos).
• Misrepresentation (e.g., fake reviews, unverified claims) leads to removal, fees forfeiture, and potential legal action.
• Use leads solely for legitimate follow-up, respecting privacy (e.g., no resale, comply with DPDP Act consent requirements).
• Deliver Services professionally, ethically, and lawfully. Handle bookings, payments, and cancellations directly with Users.
• Pay fees promptly per Vendor agreements. No refunds for unused leads unless specified.
• Solicit reviews ethically (no incentives for positives; disclose affiliations). Fake reviews prohibited.
• Indemnify us against claims from your Services or data misuse.

8. Intellectual Property

• Your Content: By submitting Content, you grant us a perpetual, non-exclusive, royalty-free, worldwide license to use, display, modify, reproduce, and promote it on the Platform. You retain ownership and warrant that you have all rights to the Content.
• Our Content: All Platform elements (logos, designs, software, algorithms, AI tools) are owned by us or licensed. No copying, modification, reverse engineering, or commercial use without written permission.
• IP Infringements: Report violations (e.g., to legal@evershineweddings.com) promptly. We may remove infringing Content under IT Act safe harbor.
• AI-Specific: AI-generated or enhanced Content follows Indian copyright law (no AI authorship; human oversight required).

9. Prohibited Conduct

You agree not to:

• Submit false, misleading, fraudulent, or defamatory information.
• Engage in spam, harassment, discrimination, hate speech, or unethical solicitation.
• Violate privacy (e.g., unauthorized data sharing, breaches of DPDP Act).
• Infringe IP, post illegal/obscene content, or promote unlawful activities.
• Use bots, scrapers, or automation to access data or disrupt services.
• Impersonate others, create fake accounts, or circumvent restrictions.
• Engage in commercial solicitation outside authorized channels or exploit leads.
• Promote or engage in activities harmful to the Platform's community.

Violations may result in immediate suspension, permanent ban, lead revocation, or legal pursuit.

10. Data Privacy and Protection

We handle data responsibly under DPDP Act and Rules, 2025. See our Privacy Policy for full details. Key commitments:

• Consent: Collect/use/share data only with verifiable consent. Users/Vendors can withdraw consent at any time.
• Purpose Limitation: Data used solely for Platform services (e.g., lead matching, AI enhancement). No unrelated processing.
• Security: Implement reasonable measures (encryption, access controls) per DPDP Rules; notify breaches within required timelines.
• Rights: Access, correction, erasure, grievance redressal — contact DPO at dpo@evershineweddings.com.
• Sharing: Leads to Vendors only with consent; no sale to third parties.
• Children: No data from minors without verifiable parental consent (DPDP compliance).

11. Disclaimers and Limitation of Liability

• As-Is Basis: Platform provided "as is" without warranties of accuracy, reliability, availability, merchantability, or fitness. No guarantee of Vendor quality, lead success, or AI media enhancements.
• Risk Assumption: Use at own risk. We disclaim responsibility for User-Vendor interactions, Service delivery, external links, or force majeure events.
• Limitation: To maximum extent under Indian law, we exclude indirect, consequential, punitive, or special damages. Total liability capped at fees paid by you in the prior 12 months or INR 10,000, whichever is lower.
• Indemnity Exclusions: Not liable for your breaches or third-party acts.

12. Indemnification

You agree to indemnify, defend, and hold harmless Evershine Events, affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and costs (including legal fees) arising from:

• Your violation of Terms, laws, or third-party rights;
• Misuse of Platform or Content;
• Disputes with other parties (e.g., User-Vendor conflicts);
• IP infringement or data breaches caused by you.

We provide prompt notice of claims; you control defense (with our approval for settlements).

13. Dispute Resolution

• Amicable First: Resolve directly; we facilitate mediation (free, non-binding) upon request.
• Arbitration: Disputes under the Arbitration and Conciliation Act, 1996; seated in Mumbai, India; one arbitrator mutually appointed. Proceedings in English; award final and binding.
• Jurisdiction: Exclusive courts in Mumbai, India (subject to arbitration). Claims within 1 year of accrual.
• Class Actions: No class or representative actions; individual claims only.

14. Modifications and Termination

• Changes: We may update Terms (with 30 days' notice via Platform/email). Continued use constitutes acceptance. Material changes require re-consent where required by law.
• Termination by Us: We may suspend/terminate for violations, non-payment, or at our discretion (with notice where reasonable).
• Your Termination: Cease use anytime; no refund for paid features.

15. Governing Law

Governed by the laws of India, without conflict of laws principles.

16. Miscellaneous

• Severability: Invalid provisions severed; remainder enforceable.
• No Waiver: Non-enforcement of rights doesn't waive them.
• Assignment: We may assign; you cannot without consent.
• Entire Agreement: Supersedes prior understandings.
• Force Majeure: Excused for uncontrollable events.
